Disney Adds Viacom And Facebook Veteran Carolyn Everson To Board Of Directors

The Walt Disney Co., after some cage-rattling by activist investor Daniel Loeb, has added former Viacom and Facebook exec Carolyn Everson to its board of directors.

Everson, 50, will officially join the board on November 21. Loeb, in a letter to company CEO Bob Chapek, had drawn attention to the relative lack of media and tech experience among board members. He made other criticisms, including the decision to stand pat with ESPN, though he later issued a partial withdrawal of the grievances, citing productive conversations with Chapek.

In a press release, the company said Everson’s selection as the company’s 12th board member “follows a lengthy and comprehensive search, and reinforces Disney’s commitment to a strong, independent board focused on the long-term performance of the company.” The release notes that the selection of Everson was backed by Loeb’s hedge fund, Third Point, “which has entered into a support agreement with Disney following a constructive dialogue.”

As part of the resolution with Third Point, the fund has agreed to customary standstill, voting and other provisions through Disney’s 2024 annual meeting, Disney said. In an SEC filing, the company said the agreement with Loeb pertained to the makeup of the board and “certain other matters.” The filing notes that Third Point has agreed not to acquire beneficial ownership in excess of 2% of the company’s outstanding shares of common stock as of the 2024 annual meeting. It has also pledged not to try to remove any board members or propose any nominee for election to the board; or put forward shareholder proposals, either generated internally or by proxy for other shareholders.

The provisions appear to be designed to limit the possibility of Loeb sparring publicly with Disney as he has with other companies. Sony Corp. got in a particularly conspicuous rift with Loeb, who was insisting on the company selling off its entertainment holdings, with George Clooney winding up drawn into the fray. Other corporate targets of Third Point’s activist efforts have included Sotheby’s and Nestlé.

“We are thrilled to welcome Carolyn Everson to the Disney Board,” board Chairman Susan Arnold said. “Carolyn’s extensive background, including roles at a number of high-profile, complex global companies, brings a welcome and invaluable perspective as we continue to focus on expanding our brand and global reach.”

Chapek described Everson as “a well-respected leader who will bring unique and valuable perspective to our board,” adding that she “has had a hand in building a number of world-class digital advertising businesses, and her insights make her a great fit as we continue to position the company for long-term growth.” 

As to Loeb, Chapek said the company has a “productive and collegial relationship” with Third Point, “with whom we share a deep commitment to continue building on Disney’s many successes and increasing shareholder value.”

Loeb, who is CEO and chief investment officer of Third Point said the fund is “pleased with our productive and ongoing dialogue with Bob and Disney’s management team.” Everson, he continued, “will add an important new perspective to an already accomplished group.”

Everson most recently served as president of Instacart. Prior to that role, she was VP of the Global Business Group at Facebook, now known as Meta, where she led the global marketing solutions team focused on top strategic accounts and global agencies, as well as media strategy, advertising sales, and account management from 2011 to 2021.

She has held additional senior leadership roles in media and technology, including as Corporate VP of Microsoft’s Global Advertising Sales and Trade Marketing Teams, and as Chief Operating Officer at Viacom. Prior to Viacom, Ms. Everson worked at Primedia, Walt Disney Imagineering and Accenture Consulting.

Everson already serves on the boards of The Coca-Cola Co., CAA, Villanova University, the Humane Society of the United States and Columbia Medical School.

The doc tells the shocking story of a hoax caller who targeted fast food restaurants across the U.S. – posing as a police officer investigating a theft, the caller instructed managers to strip-search the young female employees he said were suspects. For many victims, what began as a humiliating strip search escalated into sexual abuse.

Canada’s TVOKids Spotlights Down Syndrome In Animated Series ‘Griffin And Turner’

EXCLUSIVE: Ontario, Canada’s TVOkids and Big Jump Entertainment are working on 2D-animated series Griffin and Turner. Based on real Canadian brothers who a significant online following, the show follows the supportive pair as they, their friends and family undertake personal challenges but focus on the journey rather than winning. ‘All Quiet On The Western Front’, ‘Belfast’ Top 2022 EFA Arts & Crafts Awards

Edward Berger’s All Quiet On The Western Front and Kenneth Branagh’s Belfast top the European Film Academy’s Excellence Awards honoring achievement in the arts and crafts categories, the winners of which were announced on Wednesday.

Belfast won best European Production Design for Jim Clay, whose credits include Children Of Men, for which he won a Bafta in 2006, and Murder On The Orient Express.

The drama, set against the backdrop of the beginnings of “The Troubles” in Northern Ireland in 1969, also won best European Costume Design for Charlotte Walter (Blithe Spirit, Misbehaviour)

Netflix-backed German WWI drama All Quiet On The Western Front won best European Make-up & Hair for Heike Merker, and Best European Special Effects for Frank Petzold, Viktor Müller and Markus Frank.

 In other categories, best European Cinematography was won by Kate McCullough for her work on Colm Bairéad’s Irish-language drama The Quiet Girl.

Best European Editing went to Özcan Vardar and Eytan İpeker for Turkish director Emin Alper’s drama Burning Days.

Polish composer Paweł Mykietyn won best European Original Score went for Jerzy Skolimowski’s EO.

Best European Sound went to Simone Paolo Olivero, Paolo Benvenuti, Benni Atria, Marco Saitta, Ansgar Frerich & Florian Holzner for Michelangelo Frammartino’s cave exploration drama The Hole.

The winners, which are decided by a special expert jury, will receive their awards at the European Film Awards ceremony on 10 December in Reykjavík.

EXCLUSIVE: The actress, producer and top-selling performing artist’s social media channels including Instagram, Facebook, Tik Tok and Twitter have suddenly gone dark in their featured/cover images.

Reps for Jennifer Lopez were unavailable for comment, but we hear from others that The Hustlers and Marry Me actress is on the verge of announcing a new project.

While Lopez’s Instagram had erased all posts, a trail of her previous postings remained on Facebook, Tik Tok and Twitter. Across all four social media portals, Lopez counts close to 347M followers, the majority of that coming from her Instagram.

Lopez’s Nuyorican Productions in June 2021 signed a multi-year first-look deal with Netflix spanning feature films, TV series and unscripted content, with an emphasis on projects that support diverse female actors, writers and filmmakers. Lopez co-runs Nuyorican Productions with her producing partner Elaine Goldsmith-Thomas.

Lopez scored her best opening for a live-action movie at the domestic box office with STX’s 2019 stripper caper Hustlers which debuted to $33.1 million, and grossed $105M stateside, $157.6M worldwide.  As a recording artist, Lopez has sold over 70 million albums, with J.Lo became her bestselling album with 3.8M copies sold in the U.S. and 12M global. Her Netflix thriller The Mother from director Niki Caro is set to debut in May. Her romantic comedy Shotgun Wedding with Josh Duhamel will hit Prime Video on Jan. 27.

On Facebook, one of her followers, Steffany Merino wrote, “What’s happened? Hope you and your wonderful family are ok. I’ll pray for your health and safety.”

Again, we hear something special is in the works in the next few days.
